Terms and Conditions
TERMS AND CONDITIONS
Effective Date: September 16, 2026
These Terms and Conditions (the “Terms”) are a binding agreement between ARK Muzik, LLC DBA CloudLogix (“CloudLogix,” “we,” “us,” or “our”) and the person or entity that registers for, purchases, accesses, or uses the CloudLogix websites, software, mobile applications, APIs, support services, and related services (collectively, the “Services”). “Customer,” “you,” and “your” mean that person or entity and its authorized users.
By creating an account, selecting a plan, entering a beta or lifetime-access code, clicking to accept, or using the Services, you agree to these Terms and acknowledge the Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind it. If you do not agree, do not use the Services.
1. ELIGIBILITY AND ACCOUNTS
You must be at least 18 years old and legally able to enter a contract. You must provide accurate information, maintain current account and billing details, protect credentials, use appropriate access controls, and promptly notify us of suspected unauthorized access. You are responsible for activity by your users and for configuring roles and permissions appropriately. Accounts may not be shared except through authorized user functionality.
2. THE CLOUDLOGIX SERVICES
CloudLogix provides field-service and customer-relationship management tools that may include customer records, scheduling, dispatch, jobs and work orders, estimates, agreements, invoices, payments, inventory, workforce tools, technician location, maps, reporting, communications, integrations, support, artificial-intelligence-assisted tools, and related features. Features may vary by plan, configuration, geography, device, or release.
CloudLogix is a business operations platform. It is not an alarm monitoring center, emergency dispatch service, public-safety service, legal or accounting service, medical system, or substitute for professional judgment. Never rely on CloudLogix to contact emergency services, protect life or property, or satisfy a regulatory duty unless a separate signed agreement expressly says otherwise.
3. CUSTOMER RESPONSIBILITIES
You are responsible for: (a) the legality, accuracy, quality, and origin of data you submit; (b) obtaining all permissions, notices, and consents required from employees, technicians, contractors, customers, and other individuals; (c) your employment, surveillance, call-recording, marketing, tax, payment, retention, and industry obligations; (d) verifying estimates, invoices, routes, reports, AI output, imported data, and customer communications before relying on them; (e) maintaining compatible equipment, internet access, and device settings; and (f) backing up or exporting data appropriate to your business-continuity needs.
If you enable employee or technician tracking, you must provide all legally required notices, obtain all legally required consents, establish a lawful business purpose, limit access, and configure collection and retention appropriately. You may not secretly track any person or device or use location data for an unlawful, discriminatory, harassing, or unsafe purpose.
4. LOCATION AND MOBILE FEATURES
With device permission and Customer configuration, the technician application may collect precise or approximate location, route points, speed, timestamps, device status, and related telemetry while a technician is clocked in, signed in, assigned, navigating, or otherwise using enabled tracking features. Background location may continue when the application is not visibly open if the user grants “Allow all the time” or equivalent permission and applicable settings enable reporting.
Location and routing can be delayed, incomplete, or inaccurate because of signal conditions, permissions, battery optimization, hardware, mapping providers, network availability, or other factors. Routes, travel times, geocoding, speed, and arrival information are estimates. Users must obey traffic laws and must not interact with a device while driving. CloudLogix does not guarantee continuous tracking or emergency-grade accuracy.
5. CUSTOMER DATA AND LICENSE
As between the parties, Customer retains ownership of data submitted to the Services (“Customer Data”). Customer grants CloudLogix and its service providers a nonexclusive, worldwide, limited license to host, copy, transmit, process, display, and otherwise use Customer Data only as necessary to provide, secure, support, improve, and comply with law regarding the Services.
Customer represents that it has all rights necessary to provide Customer Data and permit this processing. CloudLogix may create aggregated or de-identified information that cannot reasonably identify Customer or an individual and may use that information to operate, secure, analyze, and improve the Services.
6. PRIVACY AND SECURITY
Our Privacy Policy explains how we handle personal information and is incorporated into these Terms. CloudLogix uses administrative, technical, and physical safeguards designed to protect information, including encryption in transit and encryption or equivalent protections for designated sensitive data at rest. No system is completely secure, and we do not guarantee that unauthorized access, loss, or interruption will never occur.
Customer is the controller or business for personal information it places in the Services, and CloudLogix generally acts as its processor or service provider. Customer must respond to requests and provide notices relating to Customer Data unless the parties agree otherwise in writing.
7. ARTIFICIAL INTELLIGENCE FEATURES
Some features may use third-party or CloudLogix artificial intelligence to assist with imports, mappings, summaries, support answers, document configuration, or other workflows. AI output may be inaccurate, incomplete, outdated, or unsuitable. It is advisory and must be reviewed by an authorized human before import, publication, payment, scheduling, legal reliance, or other consequential use.
You may not submit data to AI features unless you have authority to do so. Do not use AI output as legal, medical, financial, safety, or other professional advice. CloudLogix may log prompts, responses, sources, confidence, and related activity for security, support, quality, and audit purposes as described in the Privacy Policy. If an automated support answer cannot be verified, the system may create a support ticket containing relevant conversation context.
8. IMPORTS, INTEGRATIONS, AND THIRD-PARTY SERVICES
The Services may connect to mapping, payment, email, accounting, AI, hosting, or other third-party services. Your use of a third party may be governed by its terms and privacy practices. CloudLogix is not responsible for third-party services, changes, outages, acts, or omissions.
AI-assisted and conventional imports may stage, transform, map, deduplicate, or validate data. You must review previews and mappings before approval. Rollback tools are provided as an operational convenience and may not restore changes made outside the import, downstream third-party changes, or activity occurring after import. Maintain an independent source copy.
9. PAYMENTS AND MERCHANT SERVICES
CloudLogix may facilitate card and ACH transactions through NMI or other configured providers. Payment credentials may be collected through provider-hosted fields and tokenized so CloudLogix does not receive or store full card or bank account numbers in ordinary operation. Customer is responsible for its merchant account, gateway approval, transaction rules, refunds, chargebacks, taxes, customer authorizations, NACHA obligations, card-brand requirements, and compliance applicable to its business.
CloudLogix is not a bank, card network, money transmitter, merchant acquirer, or financial adviser. Funding, settlement, underwriting, reserves, declines, chargebacks, and provider availability are controlled by the relevant provider and financial institutions.
10. FEES, PLANS, BETA ACCESS, AND TAXES
Fees, billing cycles, included usage, and plan limits are shown at purchase or in an order. Unless otherwise stated, fees are nonrefundable and exclude taxes. You authorize applicable recurring charges until cancellation. We may change fees or plans prospectively with notice as required by law.
Beta, promotional, or lifetime-access codes may be limited by redemption count, email domain, user, company, device, IP address, time, plan, or other anti-abuse controls. “Lifetime” means access for the commercially supported life of the applicable CloudLogix offering, not the life of any individual or entity, and remains subject to these Terms, fair-use limits, security requirements, and discontinuation of the offering. Codes have no cash value, may not be sold or transferred, and may be revoked for fraud, abuse, or material breach.
11. ACCEPTABLE USE
You may not: violate law or another person’s rights; access an account without authorization; interfere with or overload the Services; upload malware; probe or circumvent security; reverse engineer except where law prohibits restriction; scrape or systematically extract data except through authorized APIs; send unlawful, deceptive, or unsolicited communications; process prohibited or unlawfully obtained data; track a person without required notice or consent; use the Services for discrimination, harassment, stalking, or surveillance abuse; resell the Services without written authorization; or use the Services or output to develop a competing product in violation of applicable law.
12. INTELLECTUAL PROPERTY AND FEEDBACK
CloudLogix and its licensors own the Services, software, documentation, designs, trademarks, and related intellectual property. Subject to these Terms and payment of fees, we grant Customer a limited, nonexclusive, nontransferable, revocable right for its authorized users to use the Services for internal business purposes during the subscription.
If you submit ideas or feedback, you grant CloudLogix a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate it without restriction or compensation. This does not transfer ownership of Customer Data.
13. CONFIDENTIALITY
Each party may receive nonpublic information identified as confidential or that reasonably should be understood as confidential. The receiving party will use reasonable care, use it only for the relationship, and disclose it only to personnel and providers who need it and are bound by appropriate duties. These obligations do not apply to information independently developed, lawfully received without restriction, publicly available without breach, or required to be disclosed by law after notice when legally permitted.
14. AVAILABILITY, CHANGES, AND SUPPORT
We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. Maintenance, security events, third-party failures, force majeure, or network conditions may affect availability. We may modify or discontinue features, address security risks, enforce usage limits, or update documentation. Support channels and response targets are not guaranteed service levels unless a separate signed agreement states otherwise.
15. SUSPENSION AND TERMINATION
You may stop using the Services and cancel as provided in your account or order. We may suspend or terminate access for nonpayment, security risk, unlawful activity, material breach, abuse, harm to the Services or others, or legal requirement. When practical, we will provide notice and an opportunity to cure.
After termination, access may end and Customer Data may be deleted according to the Privacy Policy and our retention practices, subject to law, backups, disputes, and legitimate business needs. You should export needed data before termination. Sections that by their nature should survive will survive, including payment obligations, ownership, confidentiality, disclaimers, indemnity, liability limits, and dispute terms.
16. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CLOUDLOGIX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RESULTS. WE DO NOT WARRANT THAT THE SERVICES, LOCATION DATA, ROUTES, AI OUTPUT, IMPORTS, INTEGRATIONS, OR THIRD-PARTY SERVICES WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE. NOTHING IN THESE TERMS EXCLUDES A WARRANTY THAT CANNOT LEGALLY BE EXCLUDED.
17. INDEMNIFICATION
To the extent permitted by law, Customer will defend, indemnify, and hold harmless CloudLogix, its affiliates, and their personnel from third-party claims, damages, losses, liabilities, and reasonable costs arising from Customer Data, Customer’s products or services, Customer’s violation of law or these Terms, Customer’s tracking or communications practices, or use of the Services by Customer or its users. CloudLogix will provide reasonable notice and cooperation and will allow Customer to control the defense, provided no settlement admits fault by or imposes obligations on CloudLogix without consent.
18. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDLOGIX AND ITS AFFILIATES, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, USE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS CUSTOMER PAID TO CLOUDLOGIX FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. FOR FREE OR BETA SERVICES, THE CAP IS US$100. THESE LIMITS APPLY REGARDLESS OF THEORY AND DO NOT APPLY WHERE LAW PROHIBITS LIMITATION.
19. GOVERNING LAW; BINDING ARBITRATION; CLASS-ACTION AND JURY-TRIAL WAIVERS
PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR THE LIMITED EXCEPTIONS BELOW, IT REQUIRES CLOUDLOGIX AND YOU TO RESOLVE DISPUTES THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT. ARBITRATION DOES NOT USE A JUDGE OR JURY, COURT REVIEW OF AN AWARD IS LIMITED, AND DISCOVERY AND APPEAL RIGHTS MAY BE MORE LIMITED THAN IN COURT. YOU MAY OPT OUT OF THIS ARBITRATION AGREEMENT AS DESCRIBED BELOW.
A. Governing law. These Terms and any dispute, claim, or controversy arising out of or relating to the Services, these Terms, the Privacy Policy, or the relationship between the parties (collectively, a “Dispute”) are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles. The Federal Arbitration Act, 9 U.S.C. §§ 1–16 (“FAA”), governs the interpretation and enforcement of this arbitration agreement. To the extent Louisiana arbitration law applies and is not preempted by the FAA, the Louisiana Binding Arbitration Law applies.
B. Informal dispute resolution. Before starting arbitration, the claimant must send an individualized written Notice of Dispute. Notice to CloudLogix must be sent by certified mail to ARK Muzik, LLC DBA CloudLogix, 333 Texas St., Suite 2110, Shreveport, LA 71101, with a copy emailed to info@cloudlogixcrm.com. Notice to you may be sent to the email or mailing address associated with your account. The notice must include the claimant’s name and contact information, account or company name, a detailed description of the facts and legal basis, the specific relief requested, and the claimant’s personal signature or, for an entity, the signature of an authorized representative. The parties will attempt in good faith to resolve the Dispute for 30 days after receipt. Any limitations period is tolled during that 30-day period. Completing this process is a condition precedent to arbitration.
C. Agreement to arbitrate. If a Dispute is not resolved informally, it will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”). If the Dispute arises from an individual’s personal use and applicable law treats the matter as consumer arbitration, the then-current AAA Consumer Arbitration Rules and Consumer Due Process Protocol apply. Otherwise, the then-current AAA Commercial Arbitration Rules apply. The applicable rules are available at www.adr.org. If AAA is unavailable or unwilling to administer the arbitration consistent with this Section, the parties will agree on another nationally recognized administrator or a court of competent jurisdiction will appoint one under the FAA.
D. Arbitration procedure and location. The arbitration will be conducted by one neutral arbitrator. The arbitrator may award the same individualized remedies a court could award, including authorized injunctive and declaratory relief, but only to the extent necessary to resolve the individual claimant’s Dispute. The arbitrator will issue a reasoned written decision. Hearings may occur by video, telephone, documents-only process, or in person as permitted by the applicable rules. Unless the parties agree otherwise, an in-person hearing will occur in Caddo Parish, Louisiana; however, an individual consumer may elect a reasonably convenient location when required by applicable AAA rules or law.
E. Fees. Filing, administration, and arbitrator fees will be allocated under the applicable AAA rules and law. If an individual consumer demonstrates that arbitration costs would be prohibitively greater than court costs, CloudLogix will pay the portion the arbitrator determines necessary to prevent arbitration from being prohibitively expensive. Each party is responsible for its own attorneys’ fees and costs unless an applicable law or the arbitrator authorizes an award. The arbitrator may impose sanctions for claims or conduct determined to be frivolous or made in bad faith to the same extent a court could.
F. Exceptions. Either party may bring an individual action in a small-claims court of competent jurisdiction if the claim remains within that court’s limits and is not removed or appealed to a court of general jurisdiction. Either party may seek temporary or preliminary injunctive relief in the state or federal courts serving Caddo Parish, Louisiana, to prevent actual or threatened misuse of intellectual property, confidential information, personal data, or security credentials pending final resolution. Government agencies may exercise enforcement authority notwithstanding this Section.
G. Individual relief only; class-action waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL DISPUTES MUST BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, MASS, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S OR ENTITY’S CLAIMS OR PRESIDE OVER ANY REPRESENTATIVE OR CLASS PROCEEDING WITHOUT THE WRITTEN CONSENT OF ALL PARTIES. Public injunctive relief that applicable law does not permit to be waived will be decided by a court after the arbitrator resolves all arbitrable claims and individual relief.
H. Jury-trial waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDLOGIX AND YOU KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY FOR A DISPUTE, WHETHER THE DISPUTE IS RESOLVED IN ARBITRATION OR, UNDER AN EXCEPTION, IN COURT.
I. Right to opt out. You may opt out of this arbitration agreement by sending written notice within 30 days after you first accept Terms containing this arbitration provision. The notice must include your full name, company name, account email, mailing address, and a clear statement that you opt out of the CloudLogix arbitration agreement. It must be personally signed and sent by certified mail to ARK Muzik, LLC DBA CloudLogix, 333 Texas St., Suite 2110, Shreveport, LA 71101, with a copy emailed to info@cloudlogixcrm.com. Opting out will not affect other provisions of these Terms or your ability to use the Services. An opt-out applies only to the individual or entity identified in the notice.
J. Court venue when arbitration does not apply. For a Dispute not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state or federal courts serving Caddo Parish, Louisiana, except where applicable law requires otherwise.
K. Severability and survival. If any portion of this Section other than the class-action waiver is found unenforceable, it will be severed or modified to the minimum extent necessary and the remainder will remain effective. If the class-action waiver is finally found unenforceable as to a particular claim or request for relief, that claim or request will be decided by a court after all arbitrable matters are completed. If a court determines that applicable law prohibits arbitration of a particular claim or remedy, only that claim or remedy will proceed in court. This Section survives termination of the Services, account closure, and termination of these Terms.
20. CHANGES TO THESE TERMS
We may update these Terms. We will post the updated version and effective date and provide additional notice or renewed acceptance when required or when changes are material. Continued use after the effective date constitutes acceptance to the extent permitted by law. If you do not agree, stop using the Services before the updated Terms take effect.
21. GENERAL TERMS
Neither party is liable for delay caused by events beyond reasonable control. Customer may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, financing, sale of assets, or by operation of law. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder remains effective. Headings are for convenience. These Terms, the Privacy Policy, applicable orders, and signed addenda constitute the entire agreement regarding the Services and supersede prior proposals or communications on that subject. An order or signed addendum controls only to the extent it expressly conflicts with these Terms.
